Terms, Conditions & Community Policies

Effective Date: June 2026

These Terms, Conditions & Community Policies govern the use of Catalyst Campus, including coworking areas, meeting rooms, private offices, event spaces, shared facilities, amenities, passes, memberships, Business Address services and related services.

By purchasing or maintaining a membership, purchasing a pass, confirming a booking, accepting these Terms through Cobot or another approved platform, entering into a service agreement, or entering and using Catalyst Campus, the user agrees to comply with these Terms & Conditions.

1. Purpose & General Conduct

Catalyst Campus is a shared professional environment.

All members, clients, guests, visitors, employees, contractors, vendors and event attendees are expected to use the space in a manner that is:

- Professional

- Respectful

- Safe

- Considerate of others

Users must not engage in conduct that unreasonably interferes with another person's ability to:

- Work

- Conduct business

- Attend meetings

- Use shared facilities

- Safely use the premises

Catalyst Campus reserves the right to establish and reasonably enforce operational, safety, security and community standards necessary for the effective management of the coworking space.

Users must comply with reasonable instructions issued by authorized Catalyst Campus personnel relating to safety, security, noise, access, use of facilities or operational requirements.

Where a user disagrees with an instruction, the user may subsequently raise the matter through the Campus complaint procedure. However, reasonable operational instructions must be followed while on the premises unless compliance would be unlawful or create an immediate safety risk.

2. Memberships & Access Entitlements

- Memberships and passes are assigned to the registered user and may not be transferred or shared unless expressly approved by Catalyst Campus.

- Access hours, workspace privileges, meeting-room allowances, amenities and other benefits are determined by the membership, pass, rental or agreement purchased.

- Day Pass access is generally during the operating hours stated for the applicable Day Pass unless otherwise agreed.

- Private-office users may receive 24/7 access subject to their individual agreement.

- Access to one part of Catalyst Campus does not automatically provide access to all offices, rooms, workspaces or amenities.

- Members may only use services and facilities included in their membership or separately purchased.

- Unused benefits, credits, meeting-room hours or access periods do not automatically roll over unless expressly stated.

- Memberships must not be used by another person.

- Catalyst Campus may restrict access where required payments remain materially outstanding or where there has been a material breach of these Terms.

Fair Use

Membership benefits, amenities and shared facilities are subject to fair and reasonable use.

Users must not use a shared resource in a manner that:

- Materially prevents reasonable use by another authorized user.

- Unreasonably monopolizes a shared facility.

- Circumvents booking or payment requirements.

- Exceeds the intended purpose of the applicable membership.

Except where specifically reserved or assigned, use of a shared desk, workstation, lounge, kitchenette, common area, privacy pod or similar facility does not create an exclusive or permanent right to that space.

3. Membership Renewal, Changes & Cancellation

- Membership renewal terms are determined by the applicable membership plan or agreement.

- Members are responsible for reviewing invoices, renewal notices and other official communications provided through approved Catalyst Campus communication channels.

- Requests to change, downgrade, upgrade or cancel a membership must comply with the notice requirements applicable to that membership.

- Cancellation of a membership does not automatically cancel outstanding invoices, charges or other obligations incurred before the effective cancellation date.

- Access may end when a membership expires, is cancelled, suspended or terminated.

- Access cards, keys, fobs or other Catalyst Campus property must be returned where required.

4. Day Passes & Short-Term Access

- Day Passes provide access only for the date, hours and facilities specified.

- Day Passes are for the registered user and are not transferable.

- Day Pass holders do not automatically receive membership benefits.

- Day Pass holders do not automatically receive access to meeting rooms, private offices, restricted areas or after-hours access unless included in the applicable pass.

- Day Pass users must comply with the same conduct, security, safety and shared-space requirements applicable to members.

- Leaving the Campus during the day does not extend the expiration time of the pass.

5. Access & Security

Security is a shared responsibility.

- Access cards, fobs, keys, access codes and other credentials are assigned to authorized users only.

- Access credentials must not be shared, transferred, copied or loaned to another person.

- Users must use their assigned credentials when entering the Campus where required.

- Members must not allow unauthorized persons to enter secured areas.

- Doors must not be propped open or deliberately left unsecured.

- Users should ensure secured doors close properly after entering or leaving.

- Access to private offices, restricted areas, storage areas or spaces not included in the user's membership or booking is prohibited.

- Access cards must be used where required for safety, security and access-recording purposes.

- Lost, stolen, damaged or malfunctioning access cards or fobs must be reported promptly.

- Lost or damaged access cards may incur a JMD $2,500 replacement fee.

- Suspicious activity, damaged locks, unauthorized persons or other security concerns must be reported promptly.

- Users must comply with reasonable security instructions from Catalyst Campus staff, security personnel and property management.

- Catalyst Campus may restrict or suspend access where reasonably necessary to address a legitimate safety or security concern.

6. After-Hours & 24/7 Access

Where a membership or agreement provides after-hours or 24/7 access:

- Access is limited to authorized users.

- Users must take additional care to secure doors after entering and leaving.

- Members must not provide after-hours access to unauthorized persons.

- After-hours access does not automatically permit events, large gatherings or use of spaces not included in the user's membership.

- Users must comply with building, noise, security, fire and safety requirements at all times.

- Significant after-hours security incidents must be reported as soon as reasonably possible.

7. Shared Workspace & Community Conduct

Users must:

- Treat members, staff, guests, vendors, contractors and visitors respectfully.

- Maintain a reasonable speaking volume.

- Avoid behaviour that materially disrupts another user's work.

- Respect the privacy and property of other users.

- Keep shared workspaces reasonably clean.

- Avoid occupying more workspace than reasonably required.

- Follow reasonable instructions provided by Campus staff.

Phones, laptops and other devices capable of producing sound must be kept at a reasonable volume.

Personal music, videos and other audio should be listened to using headphones or earphones in shared workspaces.

The kitchenette is a shared common area and must remain reasonably accessible to authorized Campus users.

Harassment, intimidation, threatening behaviour, discriminatory conduct, deliberate disruption, violence and illegal activity are prohibited.

Catalyst Campus is a collaborative coworking environment and is not represented as a completely silent workspace.

8. Noise, Calls & Virtual Meetings

- Short professional calls may be taken in shared areas where they do not materially disturb others.

- Where a call or activity is affecting other users, Catalyst Campus may reasonably request that the user reduce their volume or relocate.

- Extended, loud, confidential or highly interactive calls should be conducted in a privacy pod, meeting room or another appropriate area where available.

- Access to a privacy pod or other private facility remains subject to availability, membership entitlement and applicable booking requirements.

- Speakerphone use should be avoided in shared working areas.

- Virtual meetings requiring sustained speaking should be conducted with consideration for nearby users.

- Group discussions that materially disturb shared working areas may be required to relocate to an appropriate booked space.

- Music, videos and personal audio must be played through headphones unless otherwise approved.

9. Hot Desks & Shared Workstations

- Hot desks are available according to the applicable membership or pass.

- Hot desks are shared and are not permanently assigned unless expressly stated otherwise.

- Users may not reserve a shared desk indefinitely by leaving personal belongings unattended.

- Users should clear shared desks when finished.

- Items left on a shared desk do not establish a continuing right to use that workstation.

- Users must not move another person's belongings without permission.

- Where belongings prevent reasonable use of a shared workspace, Campus staff should be contacted.

- Catalyst Campus does not guarantee availability of a specific hot desk unless expressly reserved.

10. Private Offices

- Private offices are for the individuals or organizations to whom they are assigned.

- Other users must not occupy these spaces without authorization.

- Private-office users remain responsible for complying with building, security, fire and safety requirements.

- Users must not make structural modifications, install permanent fixtures, change locks or alter electrical or network infrastructure without approval.

- Private offices must not be used for activities inconsistent with the approved use of the premises.

11. Meeting Rooms & Bookable Spaces

- Meeting rooms and other bookable spaces must be reserved before use where reservations are required.

- Meeting-room allowances are determined by the applicable membership.

- A vacant room must not be assumed to be available where reservations are required.

- Bookings must begin and end at the confirmed times.

- Users must leave promptly where another booking follows.

- Additional usage beyond the booked period may be charged.

- Rooms must be left reasonably clean and ready for the next user.

- Whiteboards should be erased after use unless otherwise agreed.

- Furniture should be returned to its standard arrangement.

- Equipment should be properly switched off or returned after use.

- Documents, food, decorations, waste and personal belongings must be removed after the booking.

- Repeated reservation of rooms without use may result in booking privileges being reviewed or restricted.

12. External Rentals, Setup & Breakdown

- External rentals are subject to the confirmed booking time and applicable rental conditions.

- Where operationally available, a 30-minute setup period before and 30-minute breakdown period after an event or rental may be provided at no additional charge.

- Complimentary setup and breakdown time is for preparation and clearing of the space.

- Complimentary setup and breakdown time does not extend the paid meeting or event period.

- Setup and breakdown periods are subject to the Campus booking schedule and are not guaranteed where another booking prevents their availability.

- Additional setup, breakdown or occupancy time must be arranged in advance and may incur additional charges.

- Rental clients are responsible for leaving the booked space in reasonable condition.

13. Guests & Visitors

- Members are responsible for persons they invite onto the premises.

- Guests must comply with applicable Catalyst Campus policies.

- Members should appropriately receive their guests.

- Guests must not be provided with a member's access credentials.

- Guests must remain within authorized areas.

- Guest access does not automatically include independent coworking privileges or use of member benefits.

- Frequent or extended guest use that effectively constitutes coworking may require an appropriate pass or membership.

- Meetings involving multiple guests should use an appropriately booked room or space.

- Catalyst Campus may reasonably limit the frequency, duration or number of guests where guest use materially affects Campus operations or effectively constitutes unpaid coworking or event use.

- Catalyst Campus may require a guest to leave where their conduct creates a significant safety, security, operational or community concern.

14. Events & Group Activities

- Events must be booked for an appropriate space.

- Organizers must provide reasonably accurate attendance information.

- Attendance must not exceed the approved capacity of the booked space.

- Event organizers are responsible for their attendees, employees, vendors, contractors and equipment.

- Catering, decorations, entertainment, external vendors, specialized equipment or significant furniture changes must be communicated in advance.

- Activities involving open flames, hazardous materials, excessive noise, unusual electrical requirements or increased safety risks require prior approval and may be prohibited.

- Events must end at the agreed time.

- Event organizers are responsible for clearing their materials and leaving the space reasonably clean.

- Users must comply with all applicable fire, safety, building and evacuation requirements.

15. Decorations, Signage & Installations

- Decorations must not damage walls, ceilings, floors, doors, furniture, equipment or fixtures.

- Nails, screws, paint, permanent adhesives or similar materials must not be used without approval.

- Temporary signage must be removed after the applicable event or booking.

- Branding or signage must not imply an affiliation with Catalyst Campus unless authorized.

- Costs associated with repairing damage caused by decorations, installations or signage may be charged to the responsible booking holder.

16. Food, Beverages & Kitchenette

- Users must clean up after themselves.

- Food, drink containers, dishes and waste must be disposed of appropriately.

- Kitchenette facilities must be left reasonably clean after use.

- Users should avoid food with strong or persistent odours in shared working areas where it materially affects others.

- Food must not be stored in a manner that creates hygiene, odour or pest concerns.

- Spills should be cleaned promptly or reported.

- Alcohol may only be consumed where specifically approved for an authorized event and otherwise permitted by law.

17. Cleanliness & Waste

- Workstations, meeting rooms and shared facilities must be left reasonably clean.

- Waste must be placed in appropriate receptacles.

- Personal belongings must not be stored indefinitely in common areas.

- Users must report significant spills, plumbing problems, sanitation concerns or other conditions requiring attention.

- Catalyst Campus may remove items that create a legitimate hygiene, safety or operational concern.

18. Furniture, Fixtures & Equipment

- Campus furniture, monitors, displays, whiteboards, appliances, fixtures and equipment must be used responsibly.

- Campus property must not be removed without authorization.

- Significant rearrangement of furniture requires approval.

- Users must not drill, paint, modify, dismantle or permanently alter Campus property without authorization.

- Faults and damage must be reported promptly.

- Users must not undertake unauthorized repairs.

- Users may be responsible for reasonable repair or replacement costs for damage resulting from intentional conduct, negligence or misuse by themselves or persons for whom they are responsible.

- Normal wear and tear is excluded.

19. Personal Property & Lost Property

- Users are responsible for their personal belongings, equipment, documents and devices.

- Personal property should not be left unattended in common areas.

- Catalyst Campus is not responsible for loss, theft or damage to personal property except to the extent that liability cannot lawfully be excluded.

- Users should take reasonable precautions to secure valuable or confidential items.

- Property found on the premises should be given to Campus staff.

- Catalyst Campus may establish reasonable procedures for holding, returning and disposing of unclaimed property.

20. Internet, Wi-Fi & Technology

- Internet access is provided for legitimate business and personal use.

- Users must not use the network for illegal activities.

- Unauthorized access to another person's device, account, data or network resources is prohibited.

- Users must not knowingly introduce malware or compromise network security.

- Users must not intentionally use network resources in a manner that materially degrades service for others.

- Users are responsible for protecting their devices, passwords, accounts, confidential information and data.

- Catalyst Campus maintains internet connectivity and backup infrastructure; however, uninterrupted connectivity cannot be guaranteed.

- Temporary service interruptions do not automatically create an entitlement to a refund.

- Significant disruptions affecting a paid service may be assessed based on the circumstances.

21. Privacy & Confidentiality

Catalyst Campus is a shared working environment.

- Users should not assume that conversations, screens, documents, calls or other information in common areas are completely private.

- Users are responsible for protecting their own confidential, personal, commercially sensitive or proprietary information.

- Sensitive conversations should be conducted in an appropriate private space where available.

- Users must respect the privacy of other members.

- Users must not intentionally access, photograph, copy, record or disclose another user's confidential information without authorization.

22. Photography, Video & Recording

- Users must respect the privacy of other persons using the Campus.

- Individuals should not be intentionally photographed, filmed or recorded without appropriate consent.

- Commercial filming, professional photography, interviews or content production that materially affects the use of the Campus should be arranged in advance.

- Photography or recording must not obstruct entrances, walkways, workspaces or emergency routes.

- Use of Catalyst Campus branding in commercial content is subject to authorization where the content could imply endorsement, sponsorship or partnership.

23. Health, Fire Safety & Emergencies

- Users must comply with all applicable fire, safety, building and evacuation requirements.

- Users must follow posted safety instructions and reasonable directions from Catalyst Campus staff, property management, security personnel and emergency services.

- Emergency exits, entrances, corridors, stairways and evacuation routes must remain unobstructed.

- Fire extinguishers and other safety equipment must not be blocked, moved, tampered with or misused.

- Accidents, injuries, fire hazards, security concerns and significant maintenance hazards must be reported promptly.

- During an emergency, users must follow evacuation instructions and proceed to the designated assembly or safe area as directed.

- Activities creating unreasonable fire, electrical, health or physical safety risks are prohibited.

24. Prohibited Activities

Users must not:

- Engage in illegal activity.

- Possess or use prohibited substances on the premises.

- Engage in violence, threats, intimidation or harassment.

- Intentionally damage Campus property.

- Interfere with security systems.

- Tamper with fire or safety equipment.

- Gain unauthorized access to restricted areas.

- Share access credentials without authorization.

- Create unreasonable disruption for other users.

- Use the premises for an activity that creates a material safety, security, legal or reputational risk to Catalyst Campus.

- Misrepresent their relationship with Catalyst Campus.

- Deliberately interfere with the lawful activities of another Campus user.

- Refuse to comply with reasonable safety, security or operational instructions.

25. Maintenance, Repairs & Inspections

- Maintenance, repairs, inspections, upgrades or emergency works may occasionally affect particular spaces or amenities.

- Catalyst Campus will provide reasonable notice of planned disruptions where practicable and materially relevant.

- Users must report maintenance problems rather than undertaking unauthorized repairs.

- Authorized staff, property management, technicians or contractors may access relevant areas where reasonably necessary for maintenance, safety, inspection, repair or emergencies.

- Catalyst Campus may temporarily close or restrict access to an area where reasonably necessary.

26. Utilities & Service Interruptions

Electricity, water, internet, air conditioning, access systems, equipment and other services may occasionally be interrupted.

Interruptions may result from:

- Maintenance

- Equipment failure

- Third-party providers

- Utility companies

- Property management

- Emergencies

- Severe weather

- Other circumstances

Catalyst Campus will take reasonable operational steps to address significant interruptions but does not guarantee that all services will be continuously available.

A temporary interruption does not automatically create an entitlement to compensation or a refund.

Where a significant disruption materially prevents delivery of a paid service, Catalyst Campus may assess an appropriate remedy based on the circumstances and applicable agreement.

27. Bookings, Deposits & Payments

- Bookings are confirmed only after the required payment, deposit or approved Purchase Order is received.

- Catalyst Campus may require a 50% deposit to secure a booking.

- Unless different written payment terms have been approved, the outstanding balance is due no later than the day of use.

- Applicable taxes will be added where required.

- Additional time, services, damage, replacement items, cleaning requirements or other approved charges may be invoiced separately.

- Users are responsible for reviewing invoices and promptly raising genuine billing concerns.

- A booking may not be transferred to another person or organization without approval.

- Failure to use a booked service does not remove the obligation to pay amounts properly due under the applicable booking or agreement.

28. Outstanding Payments

- Users are responsible for paying invoices by the applicable due date.

- Catalyst Campus may suspend memberships, booking privileges, services or access where material payments remain overdue, subject to the applicable agreement and law.

- Suspension of access does not automatically cancel outstanding financial obligations.

- Catalyst Campus may decline new bookings while an account has unresolved overdue balances.

29. Cancellations, Payments, Rescheduling, Refunds & Credits

29.1 General

Cancellation, rescheduling, refund and credit requests are subject to the terms applicable to the relevant:

- Membership

- Pass

- Booking

- Rental

- Package

- Promotion

- Service

- Separate agreement

29.2 Cancellation Requests

Cancellation requests must be submitted through an approved Catalyst Campus communication channel.

A cancellation is not considered received until it has been acknowledged by Catalyst Campus.

Cancellation terms may vary depending on the applicable booking, membership, package or service.

Once a booking has been confirmed, deposits or payments may be subject to the applicable cancellation conditions.

Where Catalyst Campus has reserved a space and, as a consequence, declined or restricted other booking opportunities, all or part of the payment may be retained in accordance with the applicable cancellation terms.

29.3 Late Cancellations & No-Shows

Failure to attend a confirmed booking does not automatically entitle the user to:

- A refund.

- Credit.

- Rescheduling.

- Transfer of the booking.

Late arrival or early departure does not automatically reduce the amount payable.

A confirmed booking that is not attended may be treated as fully used where the required cancellation notice was not provided.

29.4 Rescheduling

Requests to reschedule are subject to:

- Availability.

- The amount of notice provided.

- The applicable booking terms.

- The type of service.

- Any difference in applicable rates.

A booking is not considered rescheduled until the revised date and time are confirmed by Catalyst Campus.

Where the replacement booking attracts a higher rate, the user may be required to pay the difference.

Approval of a rescheduling request on one occasion does not create an entitlement to future rescheduling.

29.5 Refunds

Refunds are not automatically provided because a user:

- Changes their mind.

- Arrives late.

- Leaves early.

- Fails to attend.

- Does not fully use the booked time.

- Does not fully use a membership benefit.

- Experiences a change in personal or business circumstances.

Refund eligibility will be assessed based on:

- The applicable booking or membership terms.

- The reason for the request.

- The amount of notice provided.

- Whether Catalyst Campus was able to provide the confirmed service.

- Costs already incurred.

- Applicable separate agreements.

- Applicable law.

29.6 Where Catalyst Campus Cannot Provide a Service

Where Catalyst Campus is unable to provide a confirmed paid service because of circumstances reasonably within its control, Catalyst Campus may, as appropriate:

- Offer an alternative space.

- Reschedule the booking.

- Provide a service credit.

- Provide a partial refund.

- Provide a full refund where appropriate.

The appropriate remedy will depend on the circumstances and applicable agreement.

29.7 Approved Refund Processing

Where a refund is approved:

- It will be processed through an approved Catalyst Campus payment and administrative process.

- Refunds should ordinarily be returned to the original payment method where practicable.

- Catalyst Campus may require reasonable supporting documentation.

- Lawfully non-refundable third-party payment charges may be treated in accordance with the applicable payment terms.

- Approval of a refund in one circumstance does not create an entitlement to a refund in another circumstance.

29.8 Credits

Where a credit is approved:

- The value will be communicated to the user.

- Any applicable expiry date will be communicated.

- Credits are not redeemable for cash unless expressly agreed.

- Credits may only be applied to eligible Catalyst Campus services.

- Credits are not transferable unless approved.

29.9 Membership Cancellation

Membership cancellations must comply with the applicable minimum term and notice period.

Cancellation does not automatically:

- Cancel outstanding invoices.

- Remove unpaid balances.

- Reverse properly incurred charges.

- Create a refund entitlement for previously used or partially used periods.

29.10 Outstanding Obligations

Cancellation, termination, suspension or expiry of a membership, booking or service does not eliminate amounts properly owed before the effective end date.

29.11 Exceptions

Catalyst Campus may approve an exception where it considers the circumstances reasonable.

An exception:

- Applies only to the specific matter approved.

- Does not amend these Terms generally.

- Does not create a precedent for future matters.

30. Business Address Services

30.1 Eligibility, Address Use & Documentation

Business Address services are intended for registered businesses and approved legitimate business activities and correspondence.

The approved address is:

Catalyst Campus

Unit 46, 16 Chelsea Avenue

Kingston 5, Jamaica

unless a different address is confirmed in writing.

Clients must provide applicable documentation, which may include:

- Certificate of Incorporation or applicable business-registration document.

- Valid government-issued identification.

- Current telephone number.

- Current email address.

- Business contact information.

- Information for authorized representatives.

Changes to business details or authorized representatives must be reported promptly.

Clients remain responsible for ensuring that their use of the address complies with applicable:

- Business-registration requirements.

- Licensing requirements.

- Tax requirements.

- Regulatory requirements.

- Legal requirements.

Catalyst Campus does not guarantee that the address will be accepted by a particular:

- Government body.

- Bank.

- Regulator.

- Service provider.

- Third-party organization.

Use of the Business Address does not create:

- A lease.

- A tenancy.

- A right of physical occupancy.

- A partnership.

- An agency relationship.

- An employment relationship.

Business Address services do not automatically provide coworking, meeting-room, private-office or after-hours access unless expressly included.

30.2 Annual Term, Payment, Renewal & Cancellation

The Business Address service requires a minimum 12-month commitment unless a different term has been expressly agreed in writing.

The annual fee is the amount stated in the applicable quotation, invoice or service agreement and is payable in advance unless otherwise agreed.

The commencement date determines the annual service term.

For example:

A service beginning October 2, 2026 runs through October 1, 2027.

Renewal payment would therefore be due by the end of the current term, subject to the applicable invoice or agreement, for the next term beginning October 2, 2027.

Cancellation or non-renewal requires at least 30 days' written notice, subject to completion of the minimum commitment.

Notice of cancellation or non-renewal does not remove outstanding payment obligations.

Annual Business Address fees are generally non-refundable for:

- Client-initiated cancellation.

- Early discontinuation.

- Failure to use the service.

- Failure to collect mail.

- Changes in the client's business circumstances.

This remains subject to the applicable written agreement and rights that cannot lawfully be excluded.

Renewal pricing and material changes to charges will be communicated before renewal.

New charges will not be applied retrospectively.

Where an existing client is within a prepaid term, additional charges must be disclosed before the relevant chargeable service is provided or the applicable storage charge begins.

30.3 Included Mail & Package Handling

Standard Business Address handling includes:

- Receipt of ordinary letters.

- Receipt of eligible packages.

- Notification that an item has been received.

- Secure holding for the applicable included collection period.

- Collection by the client or an authorized representative.

Monthly Weight Allowance

The standard allowance is a combined total of up to 10 lbs per calendar month.

The 10-lb allowance:

- Applies to the combined weight received during the calendar month.

- Does not reset for each delivery.

- Does not carry forward when unused.

- Does not provide unlimited package-storage capacity.

Deliveries exceeding the monthly allowance require prior approval and may attract additional charges.

Standard Maximum Package Dimensions

Unless otherwise expressly approved, packages should not exceed approximately:

20 × 30 × 10 inches

Packages exceeding the standard dimensions may be treated as oversized and may require:

- Prior approval.

- An additional handling fee.

- Alternative collection arrangements.

- Immediate or expedited collection.

Catalyst Campus may decline a package where its size, weight, quantity or storage requirement would unreasonably interfere with Campus operations.

Addressing

Items must clearly identify the registered:

- Business name, and/or

- Approved recipient.

Clients should arrange deliveries during notified receiving hours.

After-hours receipt is not guaranteed.

Catalyst Campus may decline deliveries that are:

- Improperly addressed.

- Excessive.

- Oversized.

- Unsuitable.

- Restricted.

- Hazardous.

- Otherwise inconsistent with the Business Address service.

The standard service does not automatically include:

- Forwarding.

- Opening mail.

- Scanning.

- Inventory management.

- Specialized handling.

30.4 Collection & Authorized Representatives

Mail and eligible packages should be collected promptly after notification.

Only the client or an authorized representative may collect an item.

Authorized representatives must be registered in advance and may be required to provide:

- Full name.

- Contact information.

- Valid government-issued identification.

- Written authorization from the client.

Up to two authorized representatives may be included.

Additional representatives may be subject to the applicable administration fee.

Clients must promptly notify Catalyst Campus in writing where an authorization is withdrawn.

Catalyst Campus may:

- Request identification at collection.

- Request acknowledgement of collection.

- Refuse to release an item where identity or authority cannot reasonably be verified.

Business Address membership does not itself authorize entry into secured coworking areas.

An authorized Business Address collector must not use another person's access credentials.

30.5 Storage & Uncollected Items

Packages

The first 7 calendar days after notification are included for standard package storage.

From the 8th calendar day, a late-collection/storage fee of:

JMD $300 per calendar day

may apply until collection.

The late fee applies to the client account holding uncollected items rather than separately to each ordinary letter.

Catalyst Campus may require earlier collection of bulky items where storage capacity is limited.

Letters

Ordinary letters should generally be collected within 30 days of notification.

90-Day Uncollected Item Procedure

Where an item remains uncollected for 90 calendar days after the initial collection notification, Catalyst Campus may treat the item as abandoned, subject to applicable law.

Before disposal, Catalyst Campus will issue a final written notice allowing a further:

14 calendar days

for collection.

Where the item remains uncollected after the final deadline, Catalyst Campus may, subject to applicable law:

- Return the item to sender.

- Arrange appropriate disposal.

- Securely destroy confidential documents.

- Take another reasonable disposition measure.

The item does not automatically become the property of Catalyst Campus.

Outstanding storage charges remain payable.

Any additional return, courier, disposal or destruction cost may also be charged where properly disclosed and permitted.

Items will not be disposed of merely because the initial 7-day collection period has expired.

30.6 Forwarding, Scanning & Special Requests

Mail Forwarding

Forwarding is available only by prior arrangement.

The client must provide:

- Written forwarding instructions.

- A verified destination.

- Payment of applicable courier/postage charges.

The forwarding fee is:

Actual courier/postage cost + JMD $1,000 handling fee per forwarding request.

Opening & Scanning

Catalyst Campus will not open correspondence without the client's written authorization.

Scanning is available only where approved and subject to staff availability.

Approved scanning must use an appropriate delivery method for the client.

Financial Items

Catalyst Campus does not automatically:

- Accept cash payments on behalf of clients.

- Accept cash-on-delivery obligations.

- Negotiate cheques.

- Deposit cheques.

- Act as a financial agent for the client's business.

Receipt of ordinary sealed mail containing a cheque does not constitute financial processing by Catalyst Campus.

Business Address Confirmation Letters

One standard digital Business Address confirmation letter may be included.

Custom, repeated or specially certified letters are subject to:

- Approval.

- Availability.

- An applicable fee.

Catalyst Campus will not certify facts beyond its records or guarantee that a third party will accept a confirmation letter.

30.7 Additional Business Address Service Fees

All fees below are stated in Jamaican dollars.

Applicable taxes will be identified on the quotation or invoice where required.

Where a range or starting price applies, the specific charge must be confirmed before the service is provided.

The annual Business Address fee remains the agreed contractual service price.

Additional-service fees do not replace the annual fee.

Monthly excess-weight charges are cumulative. Where an excess-weight fee has already been charged during the same month, it should be credited against the next applicable tier rather than charging the full tiers independently.

Oversized items requiring additional storage or handling may incur both:

- An applicable weight charge, and

- An applicable oversized handling charge.

Where both apply, the quotation or invoice should identify the charges.

30.8 Restricted Deliveries

The standard Business Address service does not accept:

- Illegal goods.

- Hazardous materials.

- Perishable items requiring special storage.

- Controlled goods.

- Restricted goods.

- Live animals.

- Items requiring specialist facilities.

- Unusually valuable items where specialized custody is appropriate.

Catalyst Campus may refuse any delivery that creates an unreasonable:

- Safety risk.

- Security risk.

- Legal risk.

- Storage burden.

- Operational burden.

Clients must not arrange deliveries requiring Catalyst Campus to:

- Pay charges on their behalf.

- Enter contracts on their behalf.

- Assume liability on their behalf.

- Act as their legal representative.

30.9 Responsibility & Care of Mail and Packages

Catalyst Campus will take reasonable care of items accepted into its custody.

Items will be released only through the applicable authorized:

- Collection process, or

- Forwarding process.

Catalyst Campus is not responsible for delay, loss, theft or damage caused by a postal service, courier or other third party:

- Before delivery to Catalyst Campus, or

- After documented release to the client, authorized representative or instructed courier,

except to the extent the matter is attributable to Catalyst Campus or liability cannot lawfully be excluded.

Clients remain responsible for:

- Accurate addressing.

- Appropriate packaging.

- Delivery instructions.

- Timely collection.

- Insurance of valuable items where appropriate.

30.10 Expiry, Suspension & End of Business Address Service

Continued use of the Catalyst Campus address depends on:

- An active Business Address agreement.

- Compliance with applicable policies.

- Required payments being current.

Catalyst Campus may suspend or terminate Business Address services for circumstances including:

- Material non-payment.

- Fraudulent or false documentation.

- Material misuse of the address.

- Illegal activity.

- Serious policy violations.

When Business Address authorization ends, the client must discontinue use of the address and update relevant:

- Companies Office records.

- Tax records.

- Banking records.

- Licences.

- Websites.

- Online business listings.

- Marketing materials.

- Suppliers.

- Customers.

- Correspondence.

- Government authorities.

- Other relevant records.

Catalyst Campus may decline or return deliveries received after the service has ended.

Catalyst Campus is not required to continue receiving or forwarding correspondence indefinitely after termination.

31. Member Business Responsibilities

Each member, client and business remains solely responsible for its own business operations.

This includes responsibility for:

- Business registrations.

- Licences and permits.

- Tax obligations.

- Regulatory compliance.

- Employees and contractors.

- Customers and suppliers.

- Contracts and commercial obligations.

- Insurance.

- Confidential information.

- Data and cybersecurity.

- Professional obligations applicable to the business.

Use of Catalyst Campus does not constitute approval, certification or endorsement of a user's business activities.

32. No Partnership, Agency or Employment Relationship

Membership, use of the premises or use of a Catalyst Campus Business Address does not create a:

- Partnership.

- Joint venture.

- Agency relationship.

- Employment relationship.

- Franchise.

- Subsidiary relationship.

- Other legal association.

between Catalyst Campus and the user's business unless expressly established in writing.

Users must not represent themselves as an employee, agent, partner, subsidiary or authorized representative of Catalyst Campus unless expressly authorized in writing.

33. Catalyst Campus Name, Brand & Intellectual Property

- Users must not use the Catalyst Campus name, logo, branding, photographs or other protected materials in a manner that falsely suggests endorsement, sponsorship, partnership or affiliation.

- Permission should be obtained for commercial uses of Catalyst Campus branding.

- A user's presence at Catalyst Campus does not grant ownership or licence rights to Catalyst Campus intellectual property.

34. Damage & Recovery of Costs

Users may be responsible for reasonable costs arising from damage caused through:

- Intentional conduct.

- Negligence.

- Misuse.

- Unauthorized activity.

This may include damage caused by their:

- Guests.

- Employees.

- Contractors.

- Vendors.

- Event attendees.

- Invitees.

Reasonable costs may include:

- Repair.

- Replacement.

- Specialized cleaning.

- Restoration.

Normal wear and tear is excluded.

Catalyst Campus may provide reasonable supporting evidence, including quotations, receipts or invoices, when assessing material repair or replacement charges.

35. Responsibility for Guests & Third Parties

The member or booking holder is responsible for taking reasonable steps to ensure that persons attending the Campus through them comply with relevant policies.

Where legally appropriate, damage, unauthorized use, security breaches, excessive cleaning or other reasonable costs resulting from those persons may be charged to the responsible member or booking holder.

36. Limitation of Liability

To the extent permitted by applicable law, Catalyst Campus will not be responsible for indirect, incidental, special or consequential losses arising from use of the Campus or its services.

Catalyst Campus does not guarantee the:

- Business performance.

- Revenue.

- Productivity.

- Customer relationships.

- Contracts.

- Commercial outcomes.

Nothing in these Terms is intended to exclude or restrict liability that cannot lawfully be excluded or restricted.

37. No Guarantee of Privacy

Catalyst Campus is a shared coworking environment.

While private offices, meeting rooms and privacy pods may provide greater privacy, Catalyst Campus does not guarantee complete:

- Visual privacy.

- Acoustic privacy.

- Technological privacy.

- Informational privacy.

Users remain responsible for taking appropriate precautions when handling confidential or sensitive information.

38. Service Availability

Catalyst Campus may reasonably modify the availability, location, configuration or operation of shared facilities and amenities where required for:

- Maintenance.

- Repairs.

- Safety.

- Security.

- Events.

- Upgrades.

- Operational requirements.

Where reasonably possible, significant changes affecting confirmed services will be communicated to affected users.

39. Events Outside Reasonable Control

Catalyst Campus will not be responsible for failure or delay in providing services where caused by circumstances outside its reasonable control, subject to applicable law.

Such circumstances may include:

- Utility outages.

- Telecommunications failures.

- Severe weather.

- Hurricanes.

- Natural disasters.

- Fire.

- Flooding.

- Government action.

- Building emergencies.

- Security incidents.

- Public emergencies.

- Failure of third-party infrastructure or services.

Catalyst Campus will take reasonable steps to manage the operational impact where practicable.

40. Right to Restrict, Suspend or Revoke Access

Catalyst Campus may reasonably restrict, suspend or revoke access in circumstances including:

- Material non-payment.

- Unauthorized access.

- Sharing access credentials.

- Deliberate or negligent damage.

- Serious or repeated disruption.

- Unsafe conduct.

- Harassment.

- Threatening behaviour.

- Illegal activity.

- Serious or repeated policy violations.

- Material security breaches.

- Failure to comply with reasonable safety, security or operational instructions.

Where conduct creates an immediate safety or security risk, an individual may be required to leave the premises immediately.

Catalyst Campus is not required to issue multiple warnings before taking immediate action where the circumstances reasonably require it.

41. Complaints & Conflict Resolution

Users are encouraged to report concerns to Catalyst Campus promptly rather than allowing issues to escalate.

Where a disagreement involves another member or Campus user:

- Users should avoid confrontation that could escalate the situation.

- The matter should be reported to Campus staff where assistance is required.

- Catalyst Campus may speak separately with the persons involved.

- Relevant bookings, policies, communications, access records or other available information may be reviewed.

- Catalyst Campus may implement reasonable operational measures to reduce continuing disruption.

- Repeated or serious violations may result in access restrictions or other action permitted under these Terms.

Reporting a concern does not guarantee a particular outcome.

Catalyst Campus will assess matters based on the available information and applicable policies.

Non-Retaliation

Users must not retaliate against another person for:

- Raising a genuine concern.

- Reporting a safety issue.

- Reporting a security issue.

- Reporting a policy violation.

- Cooperating with a reasonable review or investigation.

Knowingly false, malicious or deliberately misleading complaints may themselves constitute a breach of these Terms.

42. Notices & Official Communications

Catalyst Campus may communicate:

- Operational notices.

- Invoices.

- Booking confirmations.

- Membership information.

- Renewal notices.

- Policy updates.

- Payment reminders.

- Safety notices.

- Other relevant information.

through:

- Cobot.

- Email.

- WhatsApp where officially designated.

- Telephone where appropriate.

- Other officially designated communication channels.

Users are responsible for maintaining current contact information and reviewing relevant communications.

43. Changes to Terms & Policies

Catalyst Campus may reasonably update these Terms & Conditions to reflect changes in:

- Services.

- Operations.

- Security.

- Safety.

- Building requirements.

- Membership offerings.

- Legal requirements.

- Campus policies.

Members may be required to review and reaccept updated Terms & Conditions through Cobot or another approved platform.

Material changes will be communicated through an appropriate official channel where reasonably required.

44. Separate Agreements & Order of Precedence

Certain users may have a separate:

- Lease.

- Licence.

- Rental agreement.

- Membership agreement.

- Business Address agreement.

- Service agreement.

- Other written contract.

Where a specific provision of a signed agreement conflicts with these general Terms & Conditions, the applicable signed agreement will govern that specific matter.

All other provisions of these Terms & Conditions will continue to apply where relevant.

45. No Waiver

If Catalyst Campus does not immediately enforce a provision of these Terms & Conditions on one occasion, this does not prevent Catalyst Campus from enforcing that provision or another applicable provision in the future.

Failure to enforce a provision on one occasion does not establish:

- A permanent waiver.

- A change in policy.

- A right to continued non-enforcement.

46. Severability

If any provision of these Terms & Conditions is determined to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

Where appropriate, an affected provision should be interpreted or limited to the extent necessary to make it lawful and enforceable.

47. Governing Law

These Terms & Conditions are intended to be governed by the laws of Jamaica, subject to the terms of any applicable separate written agreement and any mandatory legal requirements.

48. Acceptance & Acknowledgement

By:

- Purchasing or maintaining a membership.

- Purchasing a pass.

- Making or confirming a booking.

- Purchasing Business Address services.

- Entering into an applicable service arrangement.

- Accepting these Terms through Cobot or another approved platform.

- Accessing or using Catalyst Campus.
